Terms of Service

1. Who we are

Thrivewell Capital ("Thrivewell," "we," "us," or "our") operates a financial technology platform that matches small and medium businesses in Canada and the United States with funding offers from independent third-party lenders. We are not a lender. Loans, advances, and other financing products are originated and serviced by partner lenders, each of whom has separate terms.

2. What this agreement covers

By creating an account, submitting an application, or accepting an offer through our platform, you agree to these Terms and to our Privacy Policy. Each lender's offer and any signed funding agreement is a separate contract directly between you and that lender.

3. Eligibility

You represent that you are at least 18 years old, have authority to bind the business you are applying on behalf of, and that the information you provide is accurate. You authorize us to verify identity, pull a soft credit inquiry on the business and on you as a personal guarantor, and to share your application with lenders we believe match your profile.

4. How offers work

We present offers from lenders that match the criteria they have configured with us. Offers are non-binding until you electronically sign a funding agreement directly with the lender. Each offer has an expiration date stated in the portal. Accepting an offer redirects you to an e-signature flow; the funding agreement governs the loan, fees, and repayment terms.

5. Fees and how we make money

We do not charge you a fee. Lenders pay us a referral fee on funded deals. We are not compensated based on the rate or fees of any specific offer.

6. Use of our platform

You agree not to: (a) submit applications for businesses you are not authorized to represent; (b) misrepresent financial information or upload fraudulent documents; (c) attempt to bypass authentication, rate limits, or other security controls; (d) interfere with the platform's normal operation. We may suspend or terminate accounts that violate this section.

7. Disclaimers

The platform is provided "as is." We do not guarantee that any application will result in an offer, that any offer will be accepted, or that funding will close within any particular timeframe. We do not provide financial, legal, or tax advice.

8. Limitation of liability

To the fullest extent permitted by law, Thrivewell's total liability for any claim arising out of or relating to the platform is limited to the greater of (a) referral fees we received in connection with your most recent funded application, or (b) USD $500. We are not liable for indirect, consequential, special, or punitive damages.

9. Governing law

These Terms are governed by the laws of the jurisdiction in which Thrivewell Capital is incorporated, without regard to conflict-of-law rules. Disputes will be resolved in the courts of that jurisdiction.

10. Changes

We may update these Terms. Material changes will be posted on this page with a new effective date and, where applicable, communicated to active account holders by email.
